Job summary

Legal Counsel will provide legal services to the Corporate, Governance, M&A, Regulatory and Legal Watch team of Crédit Agricole Corporate and Investment Bank (CACIB). 

 

Key Responsibilities :

Provide English law legal advice and assistance (together with documentation drafting and/or review and transaction assistance as appropriate) relevant to the operations and business units of CACIB in respect of:

 

Commercial/Procurement (including eBusiness/IT/IP)

· CACIB proprietary or third party trading, commercial banking or information sharing platforms

· Outsourcing and commercial or professional services contracts, including Telecoms, Media and Technology 

· Property and/or construction matters (including residential leases of expatriate staff) and/or co-ordinating provision of external legal advice for the same

· Intellectual property and/or co-ordinating provision of external legal advice for the same

· Intra-group services received and provided by CACIB London

· Dormant assets and liabilities

· Commercial banking matters (including nostro accounts, CLS accounts and trustee/fund manager letters)

· CACIB London Terms of Business and related processes

 

Corporate Governance and M&A Advisory

· Corporate advisory in respect of equity or asset disposals/acquisitions by CACIB or in respect of equity investments held by CACIB (including in support of DAS, GIB and FIX)

· M&A advisory mandate for CACIB (in support of GIB)

· Company secretarial assistance for CA CIB and CA CIB Group UK subsidiaries

· Receipt and data reporting of equity and quasi equity instruments (including on Orion)

· Delegations of senior management in CACIB London and related policies and procedures in respect of CACIB London branch

 

Projects

· Transversal projects affecting CACIB and related policies and procedures

· Legal projects and Legal corporate or transversal policies and procedures 

· Information governance and data preservation

· Legal issues in respect of Compliance regulatory issues on an ad hoc basis

 

Regulatory and Legal Watch

·  Contribution from a Corporate, Governance, M&A, Regulatory and Legal Watch perspective to the drafting of Quarterly London Legal Insights publication

· On request by the Head of Corporate, Governance, M&A, Regulatory and Legal Watch London, the co-ordination of and participation in the London Legal Watch Working Group and preparation of the Quarterly London Legal Insights

· Assistance in respect of English Law Master Regulatory Reporting Agreements to London branch and to the Global Legal Watch, Regulatory and ESG team in Paris.

Post qualified experience in a law firm or financial services firm or in-house banking role with direct and in-depth knowledge and experience in banking documentation
