For our German CLF-Corporates team, we are looking for a

VP / Director - Senior Originator - Corporate and Leveraged Finance (f/m/d)

Your mission

Actively originate and structure new transactions within the CLF-Corporates scope and execute these transactions independently.

Your key Responsibilities
Origination phase
Establish strong working relationships with the CLF (Origination) and DAR (Syndicate and Sales) teams, senior bankers and other business lines for a seamless and successful origination process; but also outside the bank, notably with clients
Generate ideas and prepare (acquisition) financing pitches including structuring and pricing in close collaboration with the other business lines of the bank (DAR, DCM, ECM, GIB, Rating Advisory) and also with the other product lines within CLF (LBO and telecoms)
Participate in client meetings with senior bankers and other business lines
Maintain close relationships with legal and debt advisors and other banks in the region
Execution phase 
Lead the drafting/negotiation of mandate and commitment papers (particularly term sheets) and negotiate the loan documentation with the client and/or lawyer (coordinator / doc agent roles)
Run alongside DAR Syndicate and sales teams the syndication process (including preparation of marketing materials and managing of Q&amp;A process)
Lead and review the drafting of CLF requests (risk analysis, sector analysis, transaction structure, development of bank cases and sensitivity cases, etc.) and coordinate the
Review financial models, if and where relevant, with a particular focus on cash flow analysis and financial projections, incl. the assessment of clients’ (rating based) debt capacity and identification of ideal financing structures

Senior Analyst / Associate Leveraged Finance (f/m/d)

Your missions
Origination and execution of new Leveraged Buy Out deals for top international Private Equity clients as well as financings for corporate clients within the German CLF team.

Key Responsibilities
As a member of the team you will be involved in the following areas:
Primary risk assessment (research), analysis of transactions (via Information Memoranda, due diligence reports, participation in management presentations etc…), preparation of credit applications and their presentation in the respective credit committees
Preparation of financial models, including cash flow analysis &amp; financial projections
Execution of marketing activities within the context of maintaining and extending business relationships, including preparation and production of pitch books in liaison with other business lines (DCM, ECM, M&amp;A and debt syndication teams)
Execution of financing transactions (support in structuring and legal documentation as well as in distribution/syndication and closings)
Responsibility for the credit management of designated portfolio files

You will be fully integrated in the team with our common goal to improve your technical and soft skills and gain in autonomy.

Skills, experience, qualifications and knowledge required
Graduate degree in business administration, economics, finance, accounting or related field
Profound knowledge of the financial sector, ideally with 2-3 years of experience working in a Leveraged, Acquisition or Corporate Financing department of a bank or relevant advisory firm
Strong analytical and practical financial modelling skills as well as credit and rating knowledge
Strong communication and writing skills
Ability to work under pressure with different priorities and tight project deadlines
Excellent language skills in German and English; further languages would be a plus
Team orientation, strong attitude, motivation and continued eagerness&lt;br /&gt;&lt;br /&gt;

This VIE position combines a Distribution support role and a Private placement Origination support role.

Your concrete missions will be the following:

Distribution Support:
Support in the preparation of DAR syndication opinions (including pricing and structuring) with focus on transactions with a nexus to German-speaking countries
Comparable transaction tables by relevant sector and liquidity analysis
Completion of closing memos in a timely manner
Assist with various Powerpoint presentations in connection with pitches and market updates
Assist with Excel spreadsheets reports and databases, including the use of the internal AI tool
Use Debtdomain database when inviting banks into a transaction or for reporting/search purposes
Update comparable files
Help team in preparing bank meetings &amp; complete call reports
Assist in conducting market research and present market update
Support coordinating the development and monitoring of the German investor base, especially with a focus on non-bank investors, and exploring new opportunities
Coordination with FIG, DCM and GMD in Germany as well
 
Sales &amp; Investor Interaction:
Elaborate marketing and market monitoring documents for senior Originator: macroeconomic analysis, bond market and private placement monitoring, ad-hoc client meeting presentations, market analyses, newsletters, including the use of the internal AI tool
Update and monitor databases, league tables, and market references
Conduct market intelligence and monitor Private Placement investors' investment criteria
Support Senior originator in execution of transactions in Schuldschein or USPP formats for German-speaking countries
The candidate must demonstrate genuine autonomy and strong teamwork abilities (frequent collaboration with syndication teams, distribution teams, and other DCM team members in Europe and the United States)

To support the banks expanding business in the Americas and satisfy local regulatory requirements, we are seeking a candidate with 10+ years of Operational Risk Management experience in a Corporate and Investment Banking environment (strong knowledge of CIB products and services required). Experience with Commercial Banking activities (Trade Finance, Structured Finance/Secured Lending, Receivable/Supply Chain Finance) is required. Candidate should demonstrate proven capabilities in detailed incident analysis and management, Preparing Risks and Control Self-Assessments, Metric reporting (e.g., KRIs, KCIs), project management, control testing/design, preparing and organizing Operational Risk committees.

Strong governance, management, and leadership skills are essential (preparing and steering Operational Risk Committees, presenting risk assessments to senior leadership, leading cross-functional discussions, facilitating decision-making forums). Ability to lead change initiatives and collaborate effectively with stakeholders across the organization required.

Primary Function:

Reporting remotely to the second-line (2LoD) CACIB Risk Function within CACIB NY Branch, the Senior Operational Risk Manager (ORM) will have management responsibility for monitoring, reporting, and surveillance of all business-line/support functions (BL/SF) within scope, including: incident/loss identification, control indicators/metrics, Risk and Control Self-Assessments (RCSAs), action plan monitoring, and governance/reporting.

This position also involves regional Operational Risk management responsibilities for Canada Branch and CASO (CA Services Operations) located in Montreal.

Depending on expertise and background, the ideal candidate will have familiarity with other non-financial risks such as Compliance, Cybersecurity, Third-Party Risk Management, and/or Data Quality/Governance.


Responsibilities:

Applying a risk-based approach, the ORM will work closely with the 1st Line of Defense (1LoD) to ensure:

Incident &amp; Loss Management
Ensure that Operational Risk Incidents and losses are recorded in Olimpia, escalated appropriately to key stakeholders, control gaps identified, and properly actioned. Attention to detail and CIB product understanding are critical for accurate and timely reporting.

Metrics &amp; Indicators
Identify, report, and ensure that Key Risk Indicators (KRIs) and Key Control Indicators (KCIs) adequately measure risks and control effectiveness. Ensure accurate and timely reporting with periodic coordination with Paris CACIB Head Office (HO) ORM team and BL/SF ORM teams. Manage local indicators and those required by HO in Olimpia and COSMOS.

Risk &amp; Control Self-Assessments (RCSA)
As 2LoD, periodically prepare, review, and effectively challenge the 1LoD (who own their RCSAs) to ensure accuracy and timely reporting of key processes, related risks, and associated controls.

Your mission

Support senior team members with a view to originating and executing bilateral, syndicated and event driven financings for the Bank’s predominantly large-cap corporate and private equity clients.

Your key responsibilities

Analyse companies’ business model, capital structure, financial policy
Position and benchmark corporates within their peer group within the industry / close industries
Production of comprehensive financing pitch books for corporate clients in liaison with other business lines (Coverage, DCM, ECM and M&amp;A)
Preparation of financial models, including cash flow analysis &amp; financial projections
Drafting of business opportunity memoranda ("BOM") to be submitted to General Management
Preparation of transaction requests (risk analysis, peer analysis, transaction structure, transaction profitability, production of bank and stressed business cases, etc.) and coordination of the credit process (liaison with RPC, CPM/ALM, Coverage)
Support the coordination, drafting and negotiation of mandate documents and facility agreements

· Incident Response and Crisis Management
Direct and manage Americas Cyber Security Incident Response Team (CSIRT) to ensure timely monitoring, detection, and response to threats.
Lead the development and execution of the bank’s incident response plan and associated playbooks
Coordinate responses to security incidents, ensuring minimal impact and quick recovery.
Establish and maintain a threat intelligence program to proactively identify and respond to emerging threats.
· Process and Technology Optimization
Evaluate, implement, and optimize security processes and technologies to enhance detection and response capabilities.
Collaborate with IT and engineering teams to integrate security into systems and processes.

Position Summary:

In charge of validating the pricing models for Cross Assets products and calculating XVAs in the Market Risk Analytics (MRA) model validation team.

Key Responsibilities :

The objective of this position is to validate the pricing models for the Cross Assets products and the calculation of XVA, he reports to the MCR/MMRW/MRA manager in charge of the validation of Cross Assets, Credit and XVA products. His role covers the entire validation of the pricing models used to price Cross Assets products as well as the calculation of XVAs that can integrate multiple model components on different risk classes (Indices and Equities, interest rates, FX, Credit, etc.).

Primary Responsibilities:
In charge of validating pricing models for Cross Assets and XVA products in accordance with the model validation procedure.
He/she will ensure communication with all clients of the MRA model validation team (FO Quants, Traders, Risk Manager) and follow the validation schedule in accordance with the objectives of the XVA/Cross Assets and cross-functional product activities and other risk requirements, such as the Annual Review, the Activity Report or any other risk requirements.
He will ensure the development of the internal pricing library of the model validation team (VLib) in accordance with the internal governance of the library.
He will ensure the homogeneity of validation requirements between product lines and share all knowledge.

Additional responsibilities:
Active monitoring of NAP and CSTC processes within the scope of responsibility;
Ensure application and compliance with the CACIB and CA Group model governance;
Ensure regular communication with other MCR stakeholders; Support the market risk management teams of these cross-asset and cross-functional product lines for all quantitative aspects

The Lead Auditor / Vice President conducts IGE (Inspection Generale / Internal Audit) Americas audits supporting all regional activities within the Americas, with specific ownership of CACIB Canada Branch / Credit Agricole Services and Operations. In addition to supporting regional and global general audit coverage, the auditor performs regional IT / cybersecurity / data coverage. This includes an assessment of the audited activity, the performance of tests, analysis and controls and the issuance of recommendations. He/she is responsible for the timeliness and comprehensiveness of the audit deliverables under the supervision of the IT Audit Supervisor in NY, or another global Audit Supervisor. He/She is accountable for maintaining open communication with stakeholders, and drafting the management debriefing presentation and final report. He/she usually leads a team of several auditors. In most audits he/she also executes control sections of the audit.

Key Responsibilities:
The IT Senior Auditor may either work independently or supervise one or several junior auditors.

Conduct of assignment
Assess the risks of the audited activities and to validate the related control environment for its design and operating effectiveness
Review and challenge the processes and controls in view of their respective purpose and mandates as well as the related risks, relying on fact based and documented audit works
Verify the audited unit’s compliance with internal policies and procedures and the applicable laws and regulations
Monitor the fieldwork carried out by the team and to adjust the fields of audit to the risks identified,
Maintain close communication with the IGE and stakeholder management on audit progress following the pre-set timeframe
Notify immediately the Audit Manager /Regional Supervisor /Head of Local Audit of any major control weaknesses (reputational, regulatory, compliance, etc.) identified during the audit review and comply with any escalation policy in the bank
Manage and organize interviews, debriefing meetings of conclusions with Management impacted by the audit
Follow up, review and finalize with Management on response to the draft audit report and prepare for the final audit report publication
Document, communicate, and memorialize audit deliverables are in adherence to the IGE Methodology as per the Audit Charter
Monitor and maintain assigned Auditable Objects (AO) pertaining to the assigned areas of coverage&lt;br /&gt;&lt;br /&gt;
